These Terms and Conditions ("Terms") govern your access to and use of the website located at https://koji.ltd (the "Site") and any services, content, features, or products offered by Koji Limited ("Koji", "we", "us", or "our"). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Site.
About Koji Limited
Koji Limited is a company registered in Hong Kong. We are an AI-powered IT consulting and systems integration house. We help companies modernise their systems with artificial intelligence, and we build our own AI-driven software products.
Our flagship products include NC Name Card Inbox (a WhatsApp-based business card OCR service), BR AI OCR (an AI-powered business registration certificate scanner for Hong Kong, China, and Macau), and Soul Compiler (a deep personality engineering system for AI agents).
Use of the Site
You agree to use the Site only for lawful purposes and in a manner that does not infringe the rights of, or restrict or inhibit the use and enjoyment of, the Site by any third party. Prohibited behaviour includes, but is not limited to:
- Attempting to gain unauthorised access to any part of the Site, our servers, or any related infrastructure.
- Using the Site to transmit any unlawful, harassing, defamatory, abusive, threatening, harmful, vulgar, obscene, or otherwise objectionable material.
- Interfering with or disrupting the Site, its services, or networks connected to the Site.
- Using automated systems (such as bots, scrapers, or crawlers) to access, retrieve, or index Site content in a manner that places an unreasonable load on our infrastructure or that bypasses access controls.
- Reverse engineering, decompiling, or attempting to extract source code or model parameters from any Koji service or product, except to the extent permitted by applicable law or by an open source licence we have published.
- Misrepresenting your identity or affiliation, or impersonating any person or entity.
- Using the Site or our services to develop a competing product or service.
Services and Demo Submissions
If you submit content to test or trial our services, the following terms apply to that submission:
- You confirm that you have the right to submit the content and that doing so does not infringe any third party's rights (including intellectual property, privacy, and confidentiality rights).
- You grant Koji a non-exclusive, royalty-free, worldwide licence to use the submitted content for the purposes of providing the service to you, processing your request, and (where applicable, in anonymised form) improving our AI models. See our Privacy Policy for further details on data handling and retention.
- You should not submit content that contains highly sensitive personal data (such as identity card numbers, passport numbers, financial account numbers, or health information) unless that data is reasonably required for the service you are testing.
- Demo and trial results are provided on an 'as is' basis for evaluation purposes only. They are not guaranteed to be accurate, complete, or fit for any particular purpose.
Intellectual Property
All content on the Site -- including text, graphics, logos, images, software, and the look and feel of the Site -- is the property of Koji Limited or its licensors and is protected by applicable copyright, trademark, and other intellectual property laws.
You may view, print, and download content from the Site for personal, non-commercial reference only. Any other use -- including reproduction, modification, distribution, transmission, public display, or commercial exploitation -- requires our prior written consent.
"Koji", "Koji Limited", and any related logos, product names, and service marks are trademarks of Koji Limited. You may not use them without our prior written permission.
Some Koji software is released as open source under permissive or copyleft licences. Where this applies, the relevant licence terms (published in the corresponding source repository) govern your use of that software, and those terms take precedence over these Terms in respect of the open source code.
Third-Party Services and Links
The Site may contain links to, or integrations with, third-party websites, applications, or services (such as WhatsApp, Google services, and AI model providers). We do not control these third parties and are not responsible for their content, products, services, or practices. Your interactions with third-party services are governed by their own terms and privacy policies.
Disclaimers
The Site and all content, services, and materials are provided 'as is' and 'as available', without any warranties, representations, or conditions of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness, reliability, security, or that the Site will be uninterrupted or error-free.
We make no warranty that the AI-generated output (including OCR results, extracted data, or agent responses) is accurate, complete, or suitable for any particular use. You are responsible for reviewing and verifying any output before relying on it for any decision or action.
To the maximum extent permitted by applicable law, we exclude all warranties, representations, and conditions not expressly set out in these Terms.
Limitation of Liability
To the maximum extent permitted by law, Koji Limited, its directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages -- including but not limited to loss of profits, revenue, business, goodwill, data, or anticipated savings -- arising out of or in connection with your use of, or inability to use, the Site or any of our services, regardless of the cause of action and even if we have been advised of the possibility of such damages.
Our total aggregate liability to you in connection with the Site or our services, whether in contract, tort (including negligence), or otherwise, shall not exceed the greater of (a) the total amount you have paid to us in the twelve (12) months preceding the event giving rise to the liability, or (b) one hundred Hong Kong dollars (HKD 100).
Nothing in these Terms excludes or limits any liability that cannot lawfully be excluded or limited, such as liability for death or personal injury caused by negligence, or for fraud.
Indemnity
You agree to indemnify and hold harmless Koji Limited, its directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your violation of these Terms, your misuse of the Site or our services, or your infringement of any third-party rights.
Changes to These Terms
We may revise these Terms at any time by posting an updated version on the Site. The Effective Date at the top of these Terms indicates when they were last revised. We will indicate material changes through reasonable means (for example, a notice on the Site). Your continued use of the Site after changes take effect constitutes your acceptance of the updated Terms.
Suspension and Termination
We may suspend or terminate your access to the Site or our services at our discretion, with or without notice, including if you breach these Terms or if we reasonably consider that your use poses a security, legal, or reputational risk. Sections that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, indemnity, and governing law) will continue to apply.
Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region. You agree that any dispute arising out of or in connection with these Terms, the Site, or our services shall be subject to the exclusive jurisdiction of the courts of Hong Kong.
General
- Severability -- If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
- No Waiver -- Our failure to enforce any right or provision of these Terms will not be deemed a waiver of that right or provision.
- Assignment -- You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
- Entire Agreement -- These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding your use of the Site, and supersede any prior agreements on the same subject matter.
